Web Development Terms

Effective date: 8 October 2026

1. About these terms

1.1 These terms are an agreement between Ethan Daniel Betts-Ingram, trading as freethedesk (ABN 11 493 753 896) (we, us, our), and the business that buys from us (you, your). They are business terms.

1.2 The person buying confirms they are authorised to agree to these terms on behalf of the business.

1.3 These terms cover our website packages, web application and automation discovery, any build we quote after discovery, and work charged at our hourly rate.

1.4 A web application build is set out in a written quote, giving its scope, price and payment stages. The quote and these terms together form the agreement for that build.

2. What you are buying

2.1 A website package is a fixed number of pages at a fixed price per page, as shown when you buy.

2.2 A page is one distinct page of your site with its own address. Parts shared across pages, such as the header, footer and enquiry form, are not counted as pages.

2.3 Extra pages are charged at the same price per page as your package, or at a rate we agree with you.

2.4 What each package includes is the list shown on the package when you buy it. That list forms part of this agreement.

2.5 Discovery is a set number of hours at our hourly rate, paid upfront. It produces a written scope and a quote for the build, priced to your budget.

2.6 Discovery does not commit you to a build. If you decide not to go ahead, you keep the written scope. The discovery fee is not refunded once the work is done.

3. Payment

3.1 The price shown when you buy is the total you pay.

3.2 Discovery is paid in full when you buy it.

3.3 A website package is paid in two halves: 50% when you buy it and 50% before your site goes live.

3.4 A build is paid in the stages set out in its quote.

3.5 Hourly work is charged at our current hourly rate. We agree the work with you before we start.

3.6 We may pause work while an invoice is overdue.

3.7 Your site goes live once it is paid in full.

4. How the project runs

4.1 After you pay, we agree a plan and an estimated timeline with you.

4.2 You tell us what your site must have: the facts, services, prices and anything else that has to appear, along with your logo and any photos you want used. We write the pages and design the rest using our own judgement.

4.3 If information, feedback or approvals from you arrive late, the timeline moves by the same amount. That is not a breach by us.

4.4 Design includes one design direction with two rounds of revisions.

4.5 The built site includes one round of revisions before launch.

4.6 A revision adjusts what was agreed. New pages, new features or a new direction are changes, not revisions.

4.7 Changes are quoted and approved by you in writing before we make them.

4.8 Before launch, you review the finished site on a private preview link. You have 10 business days to tell us about anything that does not match what was agreed.

4.9 The site is accepted when you approve it, or when 10 business days pass without you reporting an issue. Either way, we do not launch your site until you approve it.

4.10 If we hear nothing from you for 60 days, we may close the project. Restarting it may need a new quote.

5. After launch

5.1 We fix defects you report within 30 days of launch at no charge. After that, fixes are charged as hourly work.

5.2 A defect is something that does not work as agreed. Changes, new content and problems caused by changes made by anyone other than us are not defects.

5.3 Sites are built for current versions of the major web browsers on desktop and mobile.

5.4 Where a package includes an SEO audit, it is delivered about three months after launch under our SEO Subscription Terms, and needs your data access connected.

5.5 Where a package includes a Google Business Profile review, we review your profile and tell you what to change.

5.6 Updates, security and changes after launch are not included unless we have agreed a separate plan with you.

6. Accounts, hosting and running costs

6.1 Your domain, hosting, Google Search Console, Google Analytics and Google Business Profile are held in your name.

6.2 You give us the access we need to build and launch your site. You can remove it after launch.

6.3 Running costs charged by other providers are yours and are paid to them directly. These include hosting, domains, email and paid services such as SMS or payment processing fees.

6.4 Third-party software, fonts and images used in your site remain under their own licences.

7. Ownership

7.1 Once your project is paid in full, you have a permanent licence to use, change and move your site's code and design, with or without us.

7.2 Once your project is paid in full, we will give you a copy of your site's code on request.

7.3 We keep ownership of our underlying code, components and methods, and may reuse them for other clients.

7.4 We never reuse your name, logo, content or photos for anyone else.

7.5 You own the content you supply, and you confirm you have the right to use it, including any photos and text.

7.6 We may place a small "Website by freethedesk" credit in your site's footer. We will remove it if you ask.

7.7 We may show your site in our portfolio and case studies unless you ask us not to.

8. Your responsibilities

8.1 You are responsible for your site's content and claims being lawful, including its privacy policy.

8.2 You are responsible for personal information your site collects, such as through its enquiry form, as the business collecting it.

8.3 Each of us will protect the other's confidential information and use it only for this agreement, unless disclosure is required by law.

9. Cancelling and refunds

9.1 You can cancel a project at any time by email to hello@freethedesk.com.au.

9.2 If you cancel, we keep payment for the work done, at our hourly rate, and refund anything you have paid beyond that. You receive the work completed.

9.3 If our work does not meet what was agreed, we will have a reasonable chance to fix it before a refund is considered.

9.4 Nothing in these terms limits any right you have under the Australian Consumer Law.

9.5 We do not guarantee rankings, traffic, enquiries or sales.

10. Liability

10.1 Neither of us is liable for a delay or failure caused by events beyond our reasonable control.

10.2 Either of us may end this agreement if the other commits a material breach and does not fix it within 14 days of written notice.

10.3 Neither of us is liable to the other for indirect or consequential loss.

10.4 Our total liability under this agreement is limited to the fees you have paid us for the project. This limit does not apply to fraud, wilful misconduct, a breach of confidentiality, or any liability the law does not allow us to limit.

10.5 Each of us must take reasonable steps to reduce any loss.

11. General

11.1 The version of these terms you accepted when you bought applies for the whole of your project.

11.2 If a dispute arises, the party raising it must first give written notice, and both of us must try in good faith to resolve it.

11.3 These terms are governed by the laws of Western Australia, and both of us submit to the courts of Western Australia.

11.4 Neither of us may transfer this agreement without the other's consent, except that we may transfer it as part of a genuine sale of our business, with notice to you.

11.5 If any part of these terms is unenforceable, it is read down or removed only as far as necessary, and the rest continues to apply.

11.6 Notices may be sent by email to your account email address or to hello@freethedesk.com.au.

11.7 These terms, together with the package as shown when you bought it or your quote, are the entire agreement for your project.
